This Terms of Use Agreement ("Agreement") is entered into between Meteor Venture ("Company", "we", "us") and any individual or entity ("User", "you") accessing our services. By accessing or using any services provided by Meteor Venture, including but not limited to digital communications, networking events, or investment facilitation services (collectively, "Services"), you acknowledge that you have read, understood, and irrevocably agree to be bound by these terms.
 

1. DEFINITIONS
1.1 "Accredited Investor" shall have the meaning ascribed under Regulation 2(1)(b) of SEBI (Alternative Investment Funds) Regulations, 2012.
1.2 "Platform" refers collectively to Meteor Venture's digital interfaces, email communications, messaging groups (including WhatsApp), and physical events.
1.3 "Startup Materials" means all information, data, and documentation provided by startups for dissemination.
 

2. NATURE OF SERVICES
2.1 The Company operates strictly as a technology-enabled introduction platform between:
(a) Qualified investors; and
(b) Early-stage startups.
2.2 The Company does not:
(a) Provide investment advice as defined under SEBI (Investment Advisers) Regulations, 2013;
(b) Function as a broker or dealer under SEBI (Stock Brokers) Regulations, 1992;
(c) Guarantee the accuracy, completeness, or reliability of any Startup Materials.

3. USER REPRESENTATIONS AND WARRANTIES
3.1 Investors covenant and represent that:
(a) They meet the definition of Accredited Investor;
(b) They will conduct independent due diligence compliant with SEBI guidelines;
(c) They understand that all investments involve risk of total loss.
3.2 Startups warrant and represent that:
(a) All Startup Materials comply with applicable securities laws;
(b) They possess all necessary intellectual property rights;
(c) Disclosures contain no material misstatements or omissions.
 

4. LIMITATION OF LIABILITY
4.1 To the maximum extent permitted under Indian law:
(a) The Company's aggregate liability shall be limited to INR 5,000;
(b) No director, employee, or affiliate shall bear personal liability;
(c) All implied warranties under the Sale of Goods Act, 1930 are expressly excluded.
4.2 The Company shall not be liable for:
(a) Investment decisions made by Users;
(b) Unauthorized access to User data;
(c) Actions of third-party service providers.
 

5. DATA PROTECTION
5.1 Users consent to processing of personal data in accordance with:
(a) Digital Personal Data Protection Act, 2023;
(b) Information Technology (Reasonable Security Practices) Rules, 2011.
5.2 Data retention period: 36 months from last interaction, unless deletion is requested in writing to info@meteorventure.com.

6. INTELLECTUAL PROPERTY
6.1 The Company retains all rights, title, and interest in:
(a) Proprietary deal-sourcing algorithms;
(b) Platform architecture and design;
(c) All content created by the Company.
6.2 Users grant a non-exclusive, royalty-free license to display and distribute their materials through the Platform.

7. DISPUTE RESOLUTION
7.1 Governing Law: Laws of India.
7.2 Exclusive Jurisdiction: Courts in Jaipur, Rajasthan.
7.3 Mandatory Pre-Litigation Mediation through Indian Council of Arbitration.

8. GENERAL PROVISIONS
8.1 Entire Agreement: Supersedes all prior agreements.
8.2 Severability: Invalid provisions shall be modified to preserve intent.
8.3 Force Majeure: Not liable for delays beyond reasonable control.

ACCEPTANCE PROTOCOL

By any of the following actions, Users demonstrate irrevocable acceptance:

• Responding affirmatively to any Company communication (including but not limited to WhatsApp, email, or SMS) with:
  (i) The exact phrase "AGREE"; or
  (ii) Substantially similar affirmative responses including but not limited to:

  • "I accept"

  • "Confirmed"

  • "Yes"

  • "Accept terms"

  • "✓" (checkmark symbol)

• Participating in any Company-organized event;

• Maintaining membership in any Company-affiliated digital group beyond 48 hours.
